1. Overview of Service

HueTools is a software platform designed to support the development, optimization, and analytical evaluation of colorimetric assays and related diagnostic technologies.

The Service may include AI-assisted assay performance analytics; linearity, LOD, LOQ, and modeling tools; image processing and lighting normalization support; and API integrations with HueLab and related systems.

HueTools is intended for research, product development, and commercial diagnostic support purposes and is not a medical device unless explicitly stated in writing.

2. Eligibility

You must be at least 18 years old and authorized to bind your organization if using the Service on behalf of an entity. You are responsible for ensuring your use complies with applicable laws and regulations.

3. Accounts and Security

Users must provide accurate information, maintain credential confidentiality, and notify HueDx of unauthorized use. HueDx may suspend or terminate accounts that violate these Terms.

4. Subscription and Payment

HueTools may be offered under paid subscription plans or trial access. Fees are billed as agreed at purchase. Payments are non-refundable unless otherwise stated. Failure to pay may result in suspension.

5. Acceptable Use

Users may not reverse engineer proprietary systems, use the Service unlawfully, interfere with security, or make unsupported regulatory or clinical claims. Customers remain responsible for product validation and compliance.

6. Customer Data

Customers retain ownership of uploaded data. HueDx receives a limited license to process data to provide and improve the Service and generate aggregated, de-identified analytics. HueDx does not sell Customer Data.

7. Intellectual Property

All platform software, algorithms, and materials remain the exclusive property of HueDx. No rights are granted except as expressly stated.

8. Regulatory Disclaimer

Unless explicitly stated, HueTools is not FDA-cleared or approved. Outputs are analytical and informational. Customers remain responsible for regulatory compliance.

9. CCPA Notice (California Residents)

California residents have the right to request access, deletion, and correction of personal information, and to opt out of the sale or sharing of personal information. HueDx does not sell personal information. Requests may be submitted to software@huedx.com

10. GDPR Notice (EEA/UK Users)

Individuals in the EEA or UK have rights under GDPR including access, rectification, erasure, restriction, objection, and data portability. Processing is based on contract performance, legitimate interests, legal obligation, or consent where required. International transfers rely on appropriate safeguards such as Standard Contractual Clauses.

11. Limitation of Liability

To the maximum extent permitted by law, HueDx shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed amounts paid in the preceding 12 months.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania. Disputes shall be resolved in courts located in Philadelphia County, Pennsylvania.
